Job description

Mergers & Acquisitions Director

Location: Toronto, ON; San Francisco, CA

WHO WE ARE

Beacon Software is building a new kind of software holding company—one that is designed by founders for founders. The Beacon difference:

  • Permanent Commitment: We purchase software companies with the intention of holding them indefinitely.

  • Flexible Terms & Transition: We are flexible in our approach to both structure and capital.

  • Growth & Technology DNA: We offer a comprehensive platform of software modules, shared services, and world-class Silicon Valley talent to enable you to increase the scale of your ambition and out-innovate your competition.

  • Transparent & Decisive: We know an entrepreneur’s time is valuable. We work hard to make our diligence and closing process as transparent and expedient as possible.

About the Team

Beacon Software is on a mission to build a generational holding company of niche software solutions. Our team is composed of experienced professionals from leading technology companies such as Instacart, Airbnb, and Databricks, and top-tier investment firms like D1 Capital and Sequoia Capital. Together, we bring a technology-led and product-driven approach to finding, acquiring, and growing software businesses.

Our core values guide us:

  • Honesty: We are truth-seekers who believe human relationships generate alpha. Trust is earned over a lifetime and lost in an instant.

  • Hunger: We play to win, hold ourselves to high standards, and take pride in our responsibility to customers, partners, and each other.

  • Humility: We believe in learning from anyone at any time. Strong beliefs are held weakly to acknowledge being wrong along the way.

  • Horizon: We seek to build a generational software company and embrace compounding growth over decades.

WHAT YOU’LL DO

As the Mergers & Acquisitions Director at Beacon Software, you will lead and manage the entire deal process from sourcing and evaluation through to execution. You will have the opportunity to shape and influence Beacon’s acquisition strategy and work closely with our leadership team to grow our portfolio of niche vertical market software companies. This is a high-impact role where you will leverage your M&A expertise to identify and execute on acquisitions that align with Beacon’s long-term vision.

Responsibilities

  • Lead the full cycle of M&A transactions, including sourcing, evaluating, negotiating, and closing deals with vertical market software companies.

  • Build and maintain a strong pipeline of potential acquisition targets through networking, outreach, and market research.

  • Manage relationships with software company founders, entrepreneurs, and other stakeholders, ensuring a smooth transition throughout the acquisition process.

  • Conduct thorough due diligence, including financial analysis, risk assessments, and operational evaluations, to ensure potential deals meet Beacon’s investment criteria.

  • Collaborate with internal teams, including finance, legal, and operations, to ensure successful integration of acquired companies.

  • Present acquisition opportunities and recommendations to Beacon’s senior leadership, providing detailed financial models and analysis to support your recommendations.

  • Stay informed on market trends, competitor activities, and industry developments to refine and evolve Beacon’s acquisition strategy.

WHO YOU ARE

  • A seasoned M&A professional with 7+ years of experience in mergers and acquisitions, private equity, investment banking, or corporate development.

  • Proven experience leading and closing M&A transactions, with a deep understanding of the full deal cycle from sourcing to integration.

  • Strong financial modeling, valuation, and due diligence skills, with experience analyzing and executing deals in the software or technology sector.

  • Excellent communication and negotiation skills, with the ability to build strong relationships with founders and key stakeholders.

  • Strategic thinker who can identify growth opportunities and contribute to Beacon’s long-term vision of building a generational software holding company.

  • Comfortable working in a fast-paced environment and managing multiple deals simultaneously.

Preferred Qualifications

  • Experience with SaaS-based or vertical market software companies.

  • Track record of executing deals in a high-growth or acquisitive organization.

  • An understanding of private equity or corporate development processes, especially in the technology sector.
