Responsibilities:
• Direct the preparation, review, negotiation, and finalization of supplier contracts, service agreements, statements of work, purchasing terms, and related amendments while coordinating internal approvals.
• Translate customer and project commitments into supplier-facing contract requirements to ensure obligations such as delivery, warranties, acceptance criteria, liability, and damages provisions are properly addressed.
• Build and maintain a structured obligation tracking process that maps customer requirements to supplier commitments, identifies commercial gaps, and escalates exceptions for resolution before award.
• Develop negotiation plans with practical fallback positions covering pricing, payment structures, lead times, production capacity, change management, indemnities, insurance, confidentiality, and intellectual property terms.
• Set contracting priorities based on project timelines, supplier importance, spend levels, continuity risk, and existing agreement coverage to keep procurement activity aligned with business deadlines.
• Oversee contract performance from initial award to closeout by monitoring milestones, deliverables, notices, renewals, amendments, and supplier adherence to agreed commercial conditions.
• Assess supplier requests involving delays, scope revisions, and incremental costs, then negotiate appropriate change orders and support dispute management in collaboration with project and legal teams.
• Partner with sales, engineering, quality, finance, project management, sourcing, and legal stakeholders to ensure supplier commitments are realistic, compliant, and operationally achievable.
• Maintain organized contract documentation, approval records, templates, and status reporting for leadership, highlighting unresolved issues, pending obligations, and areas of commercial exposure. • Bachelor’s degree in Business, Supply Chain Management, Engineering, or a related field, or an equivalent combination of education and relevant experience.
• 7 to 10 years of progressive experience in sourcing, procurement, or supply chain roles with strong exposure to complex supplier contract negotiations.
• Proven background drafting and negotiating supplier agreements within industrial manufacturing, engineered equipment, or project-based environments.
• Demonstrated ability to incorporate customer or prime contract obligations into supplier agreements and resolve differences in commercial terms and risk allocation.
• Strong knowledge of commercial contract elements such as warranties, liability limitations, indemnities, liquidated damages, acceptance terms, payment structures, termination clauses, and change control.
• Experience working with suppliers, vendors, pricing structures, contract renewals, and ERP environments within a manufacturing setting.
• Certification in supply chain, procurement, or commercial contract management would be considered an asset.
