We focus on all operational aspects of a transaction - pre- and post-close - including pre-deal and functional due diligence, enterprise-wide integrations, and complex divestitures, carve-outs and separations. Our work spans across a wide range of functional and cross-functional areas, within diverse sectors and industries. As a DDV Senior Manager, you will join a dynamic team of problem solvers dedicated to helping clients navigate complex business challenges, from strategy through execution. You will play a key role in driving value across the full deal lifecycle, partnering with other competencies within PwC’s Deals line of business to serve clients and deliver measurable results in high-stakes transactions. As a Senior Manager in Operations team, you will lead project teams in the delivery of operations-focused engagements, contribute to business development pursuits and participate in a wide range of professional development activities and initiatives. You will combine analytical and strong interpersonal skills to help you develop strong relationships and high-quality outcomes for clients while simultaneously promoting learning, community and skills development within your teams.

A career within Delivering Deal Value (DDV) will provide you with the opportunity to help clients achieve maximum value on their businesses or deal transactions by solving transformational and other complex challenges. We focus on all operational aspects of a business whether EBITDA or NWC uplift, distressed situations or maximizing value in M&A transactions – pre- and post-close. Our work spans across a wide range of functional and cross-functional areas, within diverse sectors and industries.

As an M&A Operations Senior Manager, you will join a dynamic team of problem solvers dedicated to helping clients navigate complex business challenges — from strategy through execution. You will play a key role in driving value within clients businesses and across the full deal lifecycle, partnering with other competencies within PwC’s Deals line of business in order to serve clients in delivering measurable results in high-stakes transformations and transactions.

The Opportunity:

Our team assists Corporate and Private Equity clients in all operational aspects of a transformation or deal, pre- and post-completion, including:

Operational due diligence assessing target operations, risks, and performance improvement opportunities

Operational performance improvement including driving transformations and strategies to boost productivity and accelerate EBITDA growth and enhance working capital ahead of a sale, after an acquisition or in connection with other situations

Operational restructuring for companies in stressed or distressed situations, including scenario analysis and turnaround or wind-down of operations

Strategic initiatives that are heavily dependent on operational issues

Your responsibilities as a Senior Manager will include, but are not limited to:

Support DDV leadership with the day-to-day management of multiple projects across various value creation mandates and lead junior team members to successful execution

Support the development and execution of operational value creation, restructuring, integration and separation strategies

Manage project-level stakeholders across functions to ensure ongoing project alignment, effective and efficient delivery and client satisfaction

Lead functional and cross-functional delivery teams in developing and executing plans, monitoring progress, and achieving objectives and value creation targets

Provide hands-on support to delivery teams in functional due diligence analysis, integration and carve-out mandates, structural and operational improvements, etc.

Support leaders in managing project and risk identification, and contribute to quality control for quantitative and qualitative analysis and overall deliverables

Support business development and pursuit activities to drive sales and revenue

Support DDV leadership with firm-building activities, i.e. talent development, performance management, etc.

Coach and develop team members – aligned with PwC’s values – to help them grow and thrive in their roles and to evolve as professionals within the firm

Evaluate target company operations, supply chains, and business processes to identify risks, synergies, and performance improvement opportunities as part of operational due diligence

Develop and implement operational improvement strategies to drive productivity gains, cost efficiencies, EBITDA growth and NWC improvement for portfolio companies and acquisition targets

Lead synergy identification, quantification, tracking, and realization efforts across cost and revenue levers during post-deal integration

Support clients in stressed or distressed situations through operational restructuring, scenario analysis, turnaround planning, and wind-down execution

Work on-site with clients reviewing and assessing company performance, identifying root causes of underperformance, and developing prioritized implementation plans

The DDV team rapidly develops a deep understanding of the target or client business in order to identify and assess key operational issues, risks, and value-creation opportunities surrounding each mandate.
